Terms of Service

Agreement Overview

These Terms of Service ("Terms") govern your access to and use of the website, software solutions, consultative engineering, and digital agency services operated by Azirka LLC ("Azirka", "Company", "we", "us"). By browsing our website, initiating a consultation, or engaging our engineering team, you agree to be bound by these Terms.

1. Corporate Identity

2. Scope of Services

Azirka is a digital agency specialized in artificial intelligence engineering and modern digital platforms. Our offerings include, but are not limited to:

  • Architecting and deploying autonomous voice and conversational AI agents.
  • Developing multi-agent orchestration pipelines, tool integrations, and workflow automation.
  • Retrieval-Augmented Generation (RAG) system engineering and private knowledge bases.
  • Full-stack cloud application, web platform, and mobile interface design and engineering.
  • Strategic AI readiness audits, governance consulting, and MLOps infrastructure management.

Specific project deliverables, milestones, fees, and service level commitments are formally governed by separate written Statements of Work ("SOW") or Master Services Agreements ("MSA").

3. Intellectual Property & Work Product

Unless explicitly agreed otherwise in a signed Statement of Work:

  • Client Deliverables: Upon complete settlement of all agreed professional fees, all custom source code, documentation, and specific deliverables created exclusively for the Client transfer to the Client.
  • Background Technology & Tools: Azirka retains full ownership of its pre-existing proprietary libraries, architectural patterns, design accelerators, algorithms, and general know-how developed independently of the client engagement. Clients receive a perpetual, non-exclusive, worldwide license to utilize such background components embedded in their deliverables.
  • Open Source Components: Certain software implementations may utilize open-source frameworks (e.g., LiveKit, PyTorch, LangChain). Such components remain subject to their respective open-source licenses (MIT, Apache 2.0, BSD).

4. AI Systems & Probabilistic Output Disclaimers

The Client acknowledges that modern artificial intelligence, large language models (LLMs), and neural networks operate probabilistically:

  • While Azirka implements state-of-the-art guardrails, prompt engineering, verification filters, and evaluation benchmarks, AI systems may occasionally generate unexpected, unverified, or non-deterministic responses ("hallucinations").
  • The Client is responsible for maintaining appropriate human-in-the-loop oversight, particularly for mission-critical, medical, legal, or high-liability operational decisions.

5. Client Obligations & Acceptable Use

You agree not to use Azirka services, APIs, or consultation channels to:

  • Develop malicious software, cyber warfare tools, or unlicensed surveillance technologies.
  • Generate fraudulent, defamatory, sexually exploitative, or hate speech materials.
  • Violate third-party intellectual property rights or misappropriate trade secrets.
  • Reverse-engineer or attempt to compromise Azirka infrastructure or client deployments.

6. Confidentiality & Non-Disclosure

Each party agrees to hold the other party's Confidential Information in strict confidence. Azirka treats all proprietary enterprise information, business processes, system architectures, and client training materials as confidential trade secrets, disclosing them only to personnel and subprocessors bound by equivalent non-disclosure obligations.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW:

IN NO EVENT SHALL AZIRKA LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH OUR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY. AZIRKA LLC'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY THE CLIENT TO AZIRKA LLC UNDER THE APPLICABLE SOW DURING THE SIX (6) MONTHS PRECEDING THE CLAIM.

8. Governing Law & Dispute Resolution

These Terms and any dispute or controversy arising out of or related to these Terms or our services shall be governed by and construed in accordance with the laws of the State of Missouri, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in the State of Missouri.
